Terms of Service

Effective date: 2026-03-08

These Terms of Service ("Terms") govern your access to and use of all products and services operated by Aetherium Solutions Ltd, trading as Trader Origin ("we", "us", "our"), including:

• The Enigma desktop application and associated backend services;
• The Genesis Engine TradingView toolkit;
• Automated trading algorithms provided via our partner platform AstraBit;
• The Trader Origin website (www.traderorigin.com);

(collectively, the "Services"). By creating an account, subscribing to, or otherwise using any of our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Services.

1. Eligibility

You must be at least 18 years old to use the Services. By registering or subscribing, you represent and warrant that you meet this requirement, are of legal age in your jurisdiction, and have the full right, power, and authority to enter into and comply with these Terms.

2. Consumer & Business Users

During registration for Enigma, you must indicate whether you are creating an account as an individual (consumer) or on behalf of a business entity. For Genesis Engine and AstraBit subscriptions managed through third-party platforms, you are treated as an individual consumer unless you notify us otherwise.

• Individual (consumer) users benefit from the protections of the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, including the 14-day cooling-off period described in the Refund Policy below.
• Business users are entering into a business-to-business (B2B) contract. Consumer protection legislation does not apply. By registering as a business, you represent that you have the authority to bind the named entity to these Terms. The business entity is the contracting party and is responsible for all obligations under these Terms.
• If you register as an individual but are in fact acting on behalf of a business, consumer protections may not apply and you may be personally liable.

3. Account Rules

• You may create only one account per person or business entity across our Services.
• You must provide accurate and complete registration information.
• You are responsible for maintaining the security of your account credentials, including any two-factor authentication methods.
• You must notify us immediately of any unauthorised access to your account.
• We are not liable for any loss arising from unauthorised use of your account.

4. Description of Services

Enigma Desktop Application

Enigma provides market data analysis, visualisation, backtesting tools, and optional trade execution facilities for cryptocurrency and traditional financial markets.

• The Service does NOT provide financial advice. All data, charts, indicators, and analytical tools are for informational and educational purposes only.
• The Service may allow you to connect your own third-party exchange API keys (e.g. Hyperliquid) to submit trade orders directly from the application. When you do so, you are trading on your own exchange account using your own funds.
• The Service may provide access to traditional market instruments (such as equities, commodities, forex, and indices) via Hyperliquid's HIP-3 protocol or similar mechanisms. These instruments are perpetual contracts or synthetic representations traded on a decentralised exchange — they do not represent direct ownership of the underlying assets (e.g. holding a stock perpetual does not make you a shareholder of that company).
• The Service may allow you to configure webhooks and alerts (e.g. price alerts, strategy-based alerts) that can trigger automated trade execution on your connected exchange account.
• We do not hold, custody, or manage your funds at any time. We are not a broker, exchange, or financial institution.
• Market data is sourced from third-party exchanges and may be delayed, incomplete, or inaccurate.
• Backtest results are hypothetical and do not guarantee future performance.

Genesis Engine (TradingView Toolkit)

The Genesis Engine is a proprietary trading toolkit and script designed for use on the TradingView platform, allowing users to build, test, and automate their own trading strategies.

• Access to the Genesis Engine requires an active subscription managed through LaunchPass and billed via Stripe.
• You must provide your correct TradingView username to our support team in a timely manner to ensure script access. We are not liable for delays caused by the provision of incorrect information.
• The Genesis Engine does not provide financial advice. It is a toolkit for self-directed traders to create and test their own strategies.

Automated Trading Algorithms (AstraBit)

We offer access to automated trading strategies that are managed, subscribed to, and executed exclusively through our partner platform, AstraBit.

• Algorithm subscriptions and billing are managed by AstraBit. You agree to abide by AstraBit's terms of service and billing policies.
• Past performance of any algorithm is not indicative of future results.
• Automated algorithms do not eliminate the risk of loss.

All products are provided on the basis that you will make your own investment decisions without any direct or indirect advice from us.

5. API Keys & Trade Execution (Enigma)

• You may optionally provide API keys from third-party exchanges to enable trade execution features. By doing so, you authorise the Service to submit orders on your behalf according to your instructions and configurations.
• You are solely responsible for all trades executed through the Service, whether initiated manually or triggered automatically via webhooks, alerts, or strategy automation.
• You are responsible for configuring appropriate API key permissions on your exchange (e.g. restricting withdrawal permissions, setting IP whitelists where supported).
• API keys are stored encrypted on our servers. However, you acknowledge that no system is perfectly secure and you provide API keys at your own risk.
• You may revoke your API keys at any time by removing them from the Service or revoking them on your exchange.
• We are not liable for any trading losses, missed orders, incorrect executions, or any other outcome resulting from trade execution through the Service, including but not limited to losses caused by software errors, network issues, exchange outages, market conditions, or misconfigured automation.
• Automated trading (via webhooks, alerts, or strategy triggers) carries additional risk. You are responsible for testing, monitoring, and managing any automated strategies you configure.

6. Acceptable Use

You agree not to:

• Scrape, crawl, or systematically download data from the Services.
• Redistribute, resell, or commercially exploit any data, software, scripts, or content obtained through the Services.
• Reverse engineer, decompile, or disassemble any software we provide.
• Share, redistribute, or reproduce any proprietary scripts (including the Genesis Engine) with any person who is not an active subscriber.
• Attempt to gain unauthorised access to the Services or their infrastructure.
• Use the Services for any unlawful purpose, including market manipulation, wash trading, or any activity that violates applicable financial regulations.
• Use the trade execution or automation features in a manner that violates the terms of service of any connected exchange.
• Interfere with the Services' operation or impose an unreasonable load on our infrastructure.

7. Intellectual Property

All logos, branding, content, software, algorithms, and scripts (including the Enigma application and the Genesis Engine) provided by Trader Origin are the exclusive intellectual property of Aetherium Solutions Ltd. We grant you a personal, non-commercial, non-transferable, revocable licence to use our Services for the duration of your active account or subscription. Any redistribution, sharing, or reproduction of our intellectual property is strictly prohibited and will result in immediate termination of your access without a refund. All rights not expressly granted are reserved.

8. Subscriptions & Payments

Enigma Subscriptions

• Certain Enigma features may require a paid subscription when the alpha period ends.
• Payments are processed securely through Stripe. We do not store your card details.
• Subscriptions renew automatically at the end of each billing period unless cancelled.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• We may change prices with at least 30 days' notice. Continued use after a price change constitutes acceptance.
• Free tiers or trial periods may be offered and can be modified or discontinued at any time.

Genesis Engine Subscriptions

• Subscriptions are managed through LaunchPass and billed via Stripe.
• Your subscription begins with a seven (7) day free trial. You will not be charged during this trial period. You may cancel at any time during the trial through the billing portal provided by LaunchPass without incurring any charge.
• Unless you cancel before the end of your free trial, your chosen subscription plan (Monthly or Yearly) will begin automatically on the eighth day, and your first payment will be processed.
• All subscriptions are automatically recurring. Monthly plans renew monthly; Yearly plans renew annually.
• If you subscribe to a Yearly plan, your price is guaranteed for that 12-month period. For Monthly plans, we reserve the right to change the subscription price for future billing periods.
• If you cancel and re-subscribe later, you will be subject to the pricing current at the time of re-subscription.

AstraBit Algorithm Subscriptions

• Subscriptions to automated trading algorithms are managed and billed by AstraBit. You agree to abide by AstraBit's billing and subscription policies.

9. Refund Policy

Individual (consumer) users:

• 14-day cooling-off period: If you purchase a subscription and have not substantially used the Service during the first 14 days, you may request a full refund. By using the Service (accessing market data, running backtests, executing trades, or accessing the Genesis Engine script), you acknowledge that digital content delivery has begun and the statutory right of withdrawal under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 may be limited.
• After 14 days: Refunds are provided at our sole discretion. We generally do not issue refunds for partial billing periods or after substantial use of the Service.

Business users:

• Business subscriptions are non-refundable. The statutory 14-day cooling-off period under the Consumer Contracts Regulations 2013 does not apply to B2B contracts.
• Refunds for business accounts are provided at our sole discretion on a case-by-case basis.

All users:

• Service outages: If the Service is unavailable for a continuous period exceeding 72 hours due to an issue within our control, you may request a pro-rata credit for the affected period.
• Billing errors: If you are charged in error (e.g. duplicate charge, charge after cancellation), we will refund the erroneous amount promptly upon verification.
• Trader Origin script errors (Genesis Engine): In the event of a verifiable technical error originating directly from our script that causes a material failure of the Service, a full internal review will be conducted. If our investigation confirms a fault in our script, you may be entitled to a remedy. Our maximum liability in such an event shall be strictly limited to the subscription fee you paid for the single monthly billing period in which the error occurred. This is your sole and exclusive remedy.
• No refunds for trading losses: We do not provide refunds, compensation, or credits for any trading losses incurred while using the Services, regardless of the cause.
• To request a refund, contact support@traderorigin.com with your account details and reason for the request.

10. Promotions, Competitions & Discounts

From time to time, Trader Origin may offer promotions, competitions, or discounts ("Promotions"). The following terms apply to all Promotions, in addition to any specific rules published for a particular Promotion.

General Conditions

• All Promotions are offered at our sole discretion and can be modified, suspended, or cancelled at any time without notice.
• Promotions are not an inducement to trade and do not constitute financial advice. The substantial risks detailed in our Disclaimer apply at all times, regardless of any Promotion. Participation does not guarantee profit or protect against losses.
• Eligibility may be limited to specific jurisdictions, new or existing users, or other criteria as defined in the specific rules of the Promotion.

Discount and Promotional Codes

• Promotional codes have no cash value, are non-transferable, and cannot be resold.
• Unless otherwise stated, codes are limited to one per user and are typically valid for new customers on their first billing cycle only.
• Codes must be applied at the time of checkout and cannot be applied retroactively.
• We reserve the right to invalidate any codes that are used improperly or fraudulently.

Competitions

• All competitions will have specific rules outlining start/end dates, eligibility, judging criteria, and prizes. By entering, you agree to these specific rules.
• Prizes are awarded as described in the competition rules and are non-negotiable.
• Winning a competition is not an endorsement of trading skill or a predictor of future success. Past performance, including winning a competition, is not indicative of future results in live market conditions.
• Decisions made by Trader Origin regarding competition winners are final.

11. User Obligations

By using our Services, you agree to:

• Comply with all applicable laws and the terms of our third-party partners (e.g. AstraBit, LaunchPass, Stripe, TradingView, Hyperliquid).
• Provide accurate and complete information during registration, subscription, and onboarding.
• Keep your account information secure and not share your access credentials with any other person.
• Not use our Services if you are a resident of any restricted jurisdiction as may be determined by us or our partners.

12. Risk Disclosure

No Financial Advice. Trader Origin is not a registered investment advisor, broker-dealer, or financial analyst. The Services we provide are not, and should not be interpreted as, financial or investment advice, or a recommendation or solicitation to buy, sell, or hold any security or cryptocurrency.

Substantial Risk of Loss. Trading and investing in financial markets, particularly in cryptocurrencies and leveraged instruments, are highly speculative and involve a substantial risk of loss. You may lose all or more than your initial investment. Our tools do not eliminate this risk, and you should never invest money that you cannot afford to lose.

Past Performance. Any performance data shown, whether historical, back-tested, or from algorithm track records, is not a guarantee of future performance. Market conditions change, and past results are not a reliable indicator of future returns.

13. Regulatory Notice

Aetherium Solutions Ltd (trading as Trader Origin) is a technology company providing software tools. We are not authorised or regulated by any financial regulatory authority, including but not limited to:

• United Kingdom: We are not authorised by the Financial Conduct Authority (FCA). The Services are not regulated financial services and are not covered by the Financial Services Compensation Scheme (FSCS) or the Financial Ombudsman Service (FOS).
• United States: We are not registered with the Securities and Exchange Commission (SEC), the Commodity Futures Trading Commission (CFTC), or the Financial Industry Regulatory Authority (FINRA). The Services are not an investment adviser, broker-dealer, or futures commission merchant. US users should be aware that cryptocurrency regulation varies by state, and it is your responsibility to ensure compliance with applicable federal and state laws.
• European Union: We are not authorised under the Markets in Financial Instruments Directive (MiFID II) or any EU national financial regulator. The Services do not constitute a regulated investment service under EU law.
• Australia: We do not hold an Australian Financial Services Licence (AFSL) and are not regulated by the Australian Securities and Investments Commission (ASIC).
• Other jurisdictions: The Services are not registered, authorised, or regulated in any jurisdiction as a financial service. Users in all jurisdictions are solely responsible for ensuring their use of the Services complies with applicable local laws and regulations.

The Services may provide access to perpetual contracts or synthetic instruments referencing traditional financial assets (equities, commodities, forex, indices) via protocols such as Hyperliquid HIP-3. These instruments are not regulated securities, and trading them through the Services does not constitute trading on a regulated stock exchange or securities market. You do not acquire any ownership, voting rights, dividends, or other entitlements in the underlying assets.

Nothing in the Services should be construed as an offer, solicitation, or recommendation to buy, sell, or hold any cryptocurrency, perpetual contract, synthetic instrument, or other financial instrument. You are solely responsible for your own investment decisions and for complying with all applicable laws in your jurisdiction.

14. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. This applies to all aspects of the Services, including market data, analytical tools, scripts, algorithms, and trade execution features. We do not warrant that the Services will be uninterrupted, error-free, or secure.

15. Limitation of Liability

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law.

Subject to the above, to the maximum extent permitted by law, Aetherium Solutions Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, trading losses, data, or other intangible losses, arising from your use of or inability to use the Services. This includes, without limitation, losses resulting from trades executed through the Services (whether manual or automated), exchange API failures, network interruptions, software errors, or third-party service failures (including AstraBit, TradingView, LaunchPass, or any exchange). Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

16. Indemnification

This section applies to business users only. If you registered as an individual (consumer), this section does not apply to you and nothing in it affects your statutory rights under the Consumer Rights Act 2015.

You agree to indemnify and hold harmless Aetherium Solutions Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to: your use of the Services, your trading activity, your violation of these Terms, or your violation of any applicable law or regulation.

17. Termination

We reserve the right to suspend or terminate your access to any Services immediately and without a refund if you breach these Terms. Upon termination, your right to use the Services ceases immediately. Any pending automated trades or webhooks will be deactivated. Any stored API keys will be deleted from our servers. Access to proprietary scripts (including the Genesis Engine) will be revoked. Provisions that by their nature should survive termination will survive (including indemnification, limitation of liability, and regulatory notices).

18. Third-Party Services

Our Services integrate with and rely on various third-party services, including but not limited to TradingView, Hyperliquid, AstraBit, LaunchPass, and Stripe. We are not responsible for the availability, accuracy, or performance of these third-party services. Your use of these third-party services is subject to their respective terms of service and privacy policies. We encourage you to review those terms directly.

19. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are accessing the Services from outside the United Kingdom, you are responsible for compliance with local laws to the extent they apply.

20. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify registered users via in-app notification (for Enigma) and by updating the effective date on this page. Continued use of any Services after changes are posted constitutes acceptance of the updated Terms.
